Arrest & release

VIETNAMESE REGULATIONS FOR FORM AND INSUANCE OF BILL OF LADING  
In general, provisions of Vietnamese law as to the bill of lading are quite in conformity with international law. In the light of the Maritime Code, the bill of lading is identified as one of the transport documents, besides through bill of lading, sea waybill, and other transport documents. The bill of lading shall serve as evidence that the carrier has received goods of which quantity, nature, and condition are consistent with those specified in that bill of lading for the purpose of carrying such goods to the place of discharge; evidence of the ownership of the cargo and shall be used for the disposal or receipt of the cargo and evidence of the contract of carriage of cargo by sea.
Form of the bill of lading 
Form of a bill of lading shall be issued by sea transport service enterprises and must be sent and archived in maritime state authorities. Contents of the bill of lading must include the statutory particulars. 
The absence in the bill of lading of one or more such particulars does not affect its legal character provided that it is appropriate to the bill of lading’s role regulated by the law. In case the carrier’s name is not specified in the bill of lading, the ship owner shall be deemed the carrier. If the bill of lading contains inaccurate and fraudulent particulars about the carrier, the ship owner shall be liable for any compensation for any loss arising and shall be then accorded the right to request the carrier’s reimbursement. 
Delivery of the goods 
When the ship arrives at the port of discharge, the carrier shall be obliged to deliver the goods to the legal consignee if that consignee shows the original bill of lading. After the goods have been discharged, the bill of lading shall become void. Subject to each type of bill of lading, transfer of such bill of lading shall be different.

In the event that incidents resulting in such loss or damage during the voyage are at the fault of the carrier, his servants or agents and occur within the scope of his assigned duties, the carrier shall be liable for compensation for any loss or damage arising out of passenger death, injury or other harm to health. Their fault is deemed obvious unless it could be demonstrated that the ship collision, wreck, destruction, grounding, explosion, fire, any defect, or latent defect is to blame for the passenger&#8217;s loss or damage. 
In the light of this Code, the burden of proof of loss or damage and its amount resulted from ship collision, wreck, destruction, grounding, explosion, fire or defects during the voyage shall lay on the claimant. 
Limitation of liability of the carrier  
The carrier’s liability is the same as that provided for in the Athens Convention of 1974 as amended by its 1976 SDR Protocol shall be limited to 46,666 SDR per passenger per a contract of carriage for the death, injury or other health-related damage of the passenger. The total amount of limitation of liability of the carrier shall not exceed 25 million SDR. Vietnamese law does not allow the carrier and the passenger to agree a higher limit of liability. 
If it is established that the carrier&#8217;s action was taken intentionally, recklessly, or with knowledge that a loss would likely occur, the carrier is not entitled to have its liability limited. 
Time-bar 
The statute of limitation for submission of a claim for compensation for loss resulted from a passenger&#8217;s death, injury or suffering from other health-related damage lasts for 02 years. Such statute of limitation shall be calculated from the date of passenger&#8217;s disembarkation or the date on which such passenger should have left the ship in respect of a passenger&#8217;s injury or a passenger&#8217;s death occurring during the voyage respectively.  
Where the passenger’s injury occurring during the voyage results in the death of this passenger after his disembarkation from the ship, it should be calculated from the date of this passenger&#8217;s death and shall be restricted to 03 years from the date of his/her disembarkation from the ship.

VIETNAM: Ship sale and purchase 
Regarding the purchase and sale of ships with other sources of funding, not state funding, Vietnamese law regulates that its form and process shall be subject to decisions of enterprises, organizations or individuals concerned. In which, ships to be purchased and sold must satisfy the conditions on maritime safety and security and environmental protection in accordance with the law of Vietnam and international treaties to which Vietnam is a signatory. 
In other words, parties to the contract are free to determine the form and process of the ship sale and purchase. In connection with the content of the  ship sale and purchase contract, there are not special regulations about this matter. As a result, commercial law and relevant laws will be referred to determine rights and obligation of parties.
